CloudBridal End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is incorporated by reference into the CloudBridal Terms and Conditions ("Terms" or "TOS") available at cloudbridal.com. This EULA governs your rights and obligations when using the CloudBridal software application. Capitalized terms not defined here have the meanings given in the Terms.
This EULA is published by Cloud Innovations LLC ("CloudBridal," "we," "us," or "our"). By creating an account, accessing, or using CloudBridal, you ("Merchant," "you," or "your") agree to be bound by this EULA in addition to the Terms.

1. Software Delivery and Access
1.1. SaaS Model. CloudBridal is provided exclusively as a cloud-based software-as-a-service (SaaS) application. There is no downloadable software, native mobile application, desktop application, or offline-capable version of CloudBridal.
1.2. Access. The Service is accessed via web browser over a secure HTTPS connection at a URL designated by CloudBridal.
1.3. Internet Required. An active internet connection is required at all times to use CloudBridal. CloudBridal does not offer offline mode, local data caching, or any functionality that operates without an internet connection.
1.4. Browser and Device Requirements. CloudBridal requires a modern web browser with JavaScript, cookies, and WebSocket support enabled. CloudBridal does not guarantee compatibility with all browsers, browser versions, devices, or configurations. CloudBridal is not responsible for issues caused by unsupported or outdated browsers, browser extensions, plugins, or device configurations.
2. License Grant
2.1. Grant. Subject to your compliance with the Terms and this EULA, CloudBridal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the CloudBridal application during your active subscription term, solely for your internal business operations.
2.2. Restrictions. This license does not include the right to:
(a) download, copy, install, or run any part of the CloudBridal software locally;
(b) sublicense, resell, lease, lend, or otherwise distribute access to CloudBridal to any third party;
(c) modify, adapt, translate, or create derivative works based on the CloudBridal application;
(d) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of CloudBridal;
(e) remove, alter, or obscure any proprietary notices, labels, or branding on the application; or
(f) use CloudBridal for any purpose other than as described in Section 2.1.
2.3. Subscription Term. Your right to use CloudBridal continues only during the term of your active subscription (whether paid or free). Upon expiration or termination of your subscription, your license to use CloudBridal terminates immediately, subject to the data retention provisions in Section 8.
3. Subscription Plans and Features
3.1. Plan Tiers. CloudBridal may offer multiple subscription tiers with different feature sets, usage limits, and pricing. Current plan details and pricing are available at cloudbridal.com.
3.2. Feature Availability. Certain features may be available only on specific plan tiers. You may only use features included in your current subscription plan.
3.3. Modifications. CloudBridal reserves the right to modify plan features, pricing, usage limits, introduce new plans, or discontinue existing plans at any time. CloudBridal will make reasonable efforts to provide notice of material changes, but is not obligated to maintain any specific plan, feature set, or pricing structure. If you do not agree with a change, your remedy is to cancel your subscription in accordance with the Terms.
4. Accounts and Users
4.1. Account Registration. Each CloudBridal account represents a single business entity. You are responsible for providing accurate and current business information during registration and keeping it updated.
4.2. Staff Members. You may add staff members to your CloudBridal account. Each staff member may be assigned role-based permissions that control their access to features and data within your account. You are responsible for configuring appropriate permission levels for your staff and for all actions taken by staff members under your account.
4.3. Account Security. You are responsible for all activity that occurs under your account. You must maintain the security of your login credentials, ensure staff members protect their credentials, and promptly disable access for any staff member who no longer requires it. CloudBridal may offer security features such as two-factor authentication (2FA) and strongly recommends their use for all accounts, particularly those handling financial data.
4.4. End Customers. Your end customers (the consumers who interact with your business through CloudBridal features like appointment booking or a client portal) access limited, public-facing features of the platform. They do not create full CloudBridal accounts. You are solely responsible for your relationship with your end customers and for ensuring your use of CloudBridal complies with any commitments you make to them.
5. Multi-Tenant Architecture and Data Isolation
5.1. CloudBridal is a multi-tenant platform, meaning multiple merchants share the same underlying infrastructure. Each merchant's data is logically isolated through architectural controls designed to prevent cross-tenant data access during normal operation.
5.2. While CloudBridal implements commercially reasonable data isolation measures, no system can guarantee absolute security against all possible threats. CloudBridal is not liable for unauthorized access to your data resulting from sophisticated attacks, zero-day vulnerabilities, or other security events beyond CloudBridal's reasonable control.
5.3. You must not attempt to access data belonging to other merchants, bypass tenant isolation controls, or exploit any vulnerability in the platform's security architecture. Any such attempt is a material breach of this EULA and the Terms.
6. Data Ownership and License
6.1. Your Data. You retain ownership of all data you and your staff input into CloudBridal, including but not limited to customer records, appointment data, orders, inventory information, financial records, uploaded documents, images, and other business data ("Merchant Data").
6.2. License to CloudBridal. By using CloudBridal, you grant Cloud Innovations LLC a limited, non-exclusive license to store, process, display, transmit, and otherwise handle Merchant Data solely as necessary to provide, maintain, and improve the Service. This license terminates when your Merchant Data is deleted in accordance with Section 8.
6.3. Aggregated Data. CloudBridal may use anonymized, aggregated data derived from Merchant Data (from which no individual merchant or customer can be identified) for analytics, benchmarking, product improvement, and marketing purposes. This right survives termination of your subscription.
7. Data Portability
7.1. Export Options. CloudBridal provides data export capabilities through the application's export features. Available export formats may include CSV, Excel, PDF, and other common formats. You may export your Merchant Data at any time during your active subscription using the available export tools.
7.2. Export Limitations. Export capabilities are provided on a per-feature basis. CloudBridal is not obligated to provide a single comprehensive export of all Merchant Data, custom export formats, data transformation services, or migration assistance. CloudBridal may modify, add, or remove export capabilities at any time.
7.3. Post-Termination Export. Upon termination of your subscription, you will have a limited grace period as described in Section 8 to export your data. After that period, you may lose access to export tools.
8. Data Retention and Termination
8.1. Active Accounts. During your active subscription, Merchant Data is retained in accordance with CloudBridal's data handling practices and applicable law.
8.2. Grace Period. Upon expiration or termination of your subscription (for any reason), CloudBridal will retain your Merchant Data for a reasonable period ("Grace Period"), during which you may export your data or reactivate your subscription. The length of the Grace Period is determined by CloudBridal at its discretion and is currently 30 days, but may be changed at any time.
8.3. Deletion. After the Grace Period, CloudBridal may delete your Merchant Data in its entirety, including all customer records, orders, appointments, uploaded files, and other data associated with your account. Deletion is permanent and irreversible. CloudBridal is not obligated to retain any Merchant Data beyond the Grace Period.
8.4. Exceptions. Certain data may be retained beyond the Grace Period where required by law, necessary for legitimate business purposes (such as audit trails of payment transactions), or where the data has been anonymized and aggregated as described in Section 6.3.
8.5. Soft Deletion. During your active subscription, records you delete within the application may be soft-deleted (marked as deleted but retained for audit trail purposes). Soft-deleted records are included in the data subject to the Grace Period and deletion schedule above.
9. Acceptable Use
9.1. You agree to use CloudBridal only for lawful purposes and in compliance with all applicable laws, regulations, and the Terms. Without limiting the foregoing, you agree not to:
(a) use CloudBridal for any illegal activity or to facilitate illegal transactions;
(b) process payments through CloudBridal for prohibited businesses or activities under Stripe's terms or applicable card network rules (see the CloudBridal Payment Processing Terms for details);
(c) upload, transmit, or store content that is unlawful, defamatory, obscene, or that infringes the intellectual property rights of any third party;
(d) use CloudBridal to send unsolicited commercial communications (spam) through email or SMS features;
(e) attempt to circumvent multi-tenant isolation, access other merchants' data, or probe the security of the platform;
(f) use automated tools to scrape, extract, or bulk-download data from CloudBridal except through authorized export features;
(g) resell, sublicense, or provide access to CloudBridal to third parties, whether for profit or otherwise;
(h) interfere with or disrupt the Service, servers, or networks connected to the Service; or
(i) use CloudBridal in any manner that could damage, disable, overburden, or impair the Service.
10. Content Responsibility
10.1. You are solely responsible for the accuracy, legality, and appropriateness of all content you and your staff upload or input into CloudBridal, including customer data, product information, images, documents, and communications sent through the platform.
10.2. CloudBridal does not review, monitor, or approve Merchant content. However, CloudBridal reserves the right to remove or disable access to any content at any time, for any reason, including content that CloudBridal believes violates the Terms, this EULA, or applicable law, or in response to a valid legal request.
10.3. You represent and warrant that you have all necessary rights, consents, and permissions to upload and use all content you provide through CloudBridal, including images, customer data, and documents.
11. Third-Party Integrations
11.1. CloudBridal may integrate with third-party services for functions such as payment processing, email delivery, SMS messaging, accounting, marketing, and authentication.
11.2. Your use of third-party integrations is governed by your own agreements with those third-party providers. CloudBridal facilitates these integrations as a technical convenience but is not a party to your relationship with any third-party service provider.
11.3. CloudBridal is not responsible for the availability, performance, accuracy, or security of any third-party service. Failures or disruptions in third-party services do not constitute a failure of the CloudBridal Service.
11.4. You acknowledge that enabling a third-party integration may involve sharing Merchant Data with the third-party service as necessary for the integration to function. You are responsible for reviewing and accepting the third party's terms and privacy policies before enabling any integration.
11.5. CloudBridal may add, modify, or discontinue third-party integrations at any time without notice.
12. E-Signatures
12.1. CloudBridal may provide an e-signature feature that allows you to send documents for electronic signature. CloudBridal captures audit information such as IP address, user agent, and timestamp to support the validity of signatures.
12.2. No Legal Guarantee. CloudBridal facilitates electronic signatures but does not guarantee that any e-signed document will be legally enforceable in any jurisdiction. The legal enforceability of electronic signatures varies by jurisdiction and document type. You are solely responsible for determining whether electronic signatures are appropriate and legally sufficient for your specific use case. CloudBridal is not liable for any loss or claim arising from reliance on the enforceability of an e-signed document.
12.3. Record Retention. E-signed documents and their associated audit trails are retained as part of your Merchant Data and are subject to the data retention provisions of Section 8.
13. Branding and Customization
13.1. CloudBridal may allow you to customize certain aspects of the application's appearance. These customizations are cosmetic and do not alter the underlying functionality of the platform.
13.2. CloudBridal Branding. Public-facing pages generated by CloudBridal may display "Powered by CloudBridal" or similar branding. CloudBridal reserves the right to display its branding on any part of the Service, subject to any branding removal options that may be available on certain subscription tiers.
13.3. Not White-Label. Customization options do not constitute a white-label solution. The underlying platform framework, functionality, and architecture remain CloudBridal's intellectual property regardless of cosmetic customizations.
14. Intellectual Property
14.1. CloudBridal's IP. CloudBridal, including its software, codebase, user interface, design, documentation, generated reports and templates, APIs, trade names, trademarks, and all related intellectual property, is and remains the exclusive property of Cloud Innovations LLC.
14.2. Your IP. Subject to the license granted in Section 6.2, nothing in this EULA transfers ownership of your Merchant Data, your business name, your trademarks, or your original content to CloudBridal.
14.3. Feedback. If you provide suggestions, ideas, or feedback about CloudBridal ("Feedback"), you grant CloudBridal a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.
15. Sensitive Data
15.1. CloudBridal is designed for business operations in the retail and service industries. The platform is not designed or intended for storing highly sensitive personal data such as government-issued identification numbers (including Social Security numbers, Tax File Numbers, and similar identifiers), medical records, financial account numbers (other than payment information handled through Stripe), or any data subject to heightened regulatory requirements such as HIPAA.
15.2. You are solely responsible for ensuring that the data you input into CloudBridal is appropriate for the platform's intended use. CloudBridal disclaims all liability for any claims arising from your storage of data that exceeds the platform's intended scope as described in this Section.
16. Service Availability
16.1. The availability of the CloudBridal Service is addressed in the CloudBridal Service Level Agreement ("SLA"). This EULA does not create any independent availability or uptime commitments.
17. Modifications to this EULA
17.1. CloudBridal may modify this EULA at any time by posting an updated version at the URL where this document is hosted. Continued use of the Service after changes are posted constitutes acceptance of the modified EULA.
