CloudBridal Payment Processing Terms

These Payment Processing Terms ("Payment Terms") are incorporated by reference into the CloudBridal Terms and Conditions ("Terms" or "TOS") available at cloudbridal.com. These Payment Terms govern the payment processing functionality provided through CloudBridal's integration with Stripe. Capitalized terms not defined here have the meanings given in the Terms.

These Payment Terms are published by Cloud Innovations LLC ("CloudBridal," "we," "us," or "our"). By connecting a Stripe account through CloudBridal or using any payment processing feature within CloudBridal, you ("Merchant," "you," or "your") agree to be bound by these Payment Terms in addition to the Terms.

These Payment Terms constitute the "Platform Provider Agreement" as referenced in the Stripe Connected Account Agreement. For the avoidance of doubt, the Stripe Connected Account Agreement Incorporation Statement, incorporated by reference into the Terms, also applies to your use of payment processing features.

1. CloudBridal's Role

1.1. Platform, Not Processor. CloudBridal is a Stripe Connect Platform that provides technical infrastructure enabling you to accept payments from your customers. CloudBridal is not a payment processor, payment service provider, acquirer, bank, money transmitter, or financial institution.

1.2. Technical Facilitation Only. CloudBridal facilitates payment transactions by transmitting payment instructions between your CloudBridal account and your Stripe connected account. All actual payment processing, fund holding, settlement, and disbursement is performed exclusively by Stripe and its banking partners.

1.3. Three-Party Relationship. Payment processing through CloudBridal involves three distinct parties: (a) you, the Merchant; (b) Stripe, the payment processor; and (c) CloudBridal, the platform that connects the two. CloudBridal is not a party to the payment transaction between you and your customer, nor to the payment processing relationship between you and Stripe.


2. Stripe Relationship

2.1. Stripe Agreement Required. To use payment processing features in CloudBridal, you must connect a Stripe account and agree to Stripe's Connected Account Agreement (available at https://stripe.com/connect-account/legal), which incorporates the Stripe Services Agreement applicable to your country.

2.2. Stripe Terms Govern Payment Processing. Your payment processing relationship is primarily governed by your agreement with Stripe. These Payment Terms do not replace, override, or modify any Stripe terms. In the event of a conflict between these Payment Terms and Stripe's terms regarding payment processing, Stripe's terms prevail for all matters within Stripe's scope of service.

2.3. Stripe May Update Terms Independently. Stripe may update its Connected Account Agreement and Stripe Services Agreement at any time. CloudBridal is not responsible for notifying you of changes to Stripe's terms. You are responsible for monitoring and complying with Stripe's current terms.

2.4. Stripe Account Status. CloudBridal may read your Stripe account status to display relevant information within the CloudBridal interface. CloudBridal does not control your Stripe account status and is not responsible for any restrictions, requirements, or limitations imposed by Stripe on your account.


3. Payment Methods

3.1. CloudBridal may facilitate various payment methods through your Stripe connected account, including but not limited to in-person card payments via Stripe Terminal card readers, saved cards on file, manual card entry, and Stripe-hosted payment links. The specific payment methods available may vary and may change at any time.

3.2. Payment Method Availability. Not all payment methods may be available on all CloudBridal subscription plans. Refer to the CloudBridal EULA for plan-specific feature availability.


4. Platform Fee

4.1. Fee Amount. CloudBridal charges a platform fee on transactions processed through CloudBridal ("Platform Fee"). The current Platform Fee rate is published within the CloudBridal application or at cloudbridal.com. The Platform Fee is in addition to Stripe's own processing fees, which are set by Stripe and vary by payment method, card type, and region.

4.2. Fee Collection. The Platform Fee is automatically deducted by Stripe from each transaction before settlement to your Stripe account, using Stripe's application fee mechanism.

4.3. Stripe's Fees. Stripe's processing fees are separate from and in addition to the Platform Fee. CloudBridal does not control Stripe's fees and is not responsible for changes to Stripe's pricing.

4.4. Fee Changes. CloudBridal reserves the right to adjust the Platform Fee at any time. CloudBridal will make reasonable efforts to notify affected merchants of fee changes before they take effect. Continued use of payment processing features after a fee change takes effect constitutes acceptance of the new fee. If you do not agree to a fee change, you may disconnect your Stripe account.


5. Authorized Activities

5.1. Authorization. By connecting your Stripe account to CloudBridal, you authorize CloudBridal to perform actions on your Stripe connected account on your behalf as reasonably necessary to provide payment processing functionality within CloudBridal. These actions may include but are not limited to:

(a) creating payment intents to initiate charges;

(b) sending payment requests to card readers;

(c) saving customer payment methods;

(d) processing refunds;

(e) reading account status information;

(f) applying the Platform Fee to transactions; and

(g) other technical actions as CloudBridal's payment features evolve.

5.2. Scope Limitations. CloudBridal does not and will not:

(a) manage your payout schedule or bank account details;

(b) submit dispute evidence or manage chargeback responses;

(c) modify your Stripe account settings, business information, or verification documents;

(d) access, view, or store full card numbers (PAN), CVV/CVC codes, or encryption keys;

(e) hold, control, or have access to your funds at any time; or

(f) guarantee the availability, approval, or timing of any payment or fund transfer.


6. Merchant Responsibilities

6.1. Stripe Compliance. You must comply with all terms of the Stripe Connected Account Agreement, the Stripe Services Agreement, and all applicable card network rules and regulations.

6.2. Cardholder Authorization. Before saving a customer's payment method for future use, you must obtain proper authorization from the cardholder. You are solely responsible for obtaining, verifying, and retaining evidence of cardholder consent. CloudBridal may track authorization confirmations for audit purposes but does not verify the adequacy of your authorization practices.

6.3. Dispute and Chargeback Management. You are solely responsible for responding to and managing all payment disputes and chargebacks through the Stripe Dashboard. CloudBridal does not provide dispute evidence submission, tracking, monitoring, or notifications. You must respond to disputes within the deadlines set by Stripe and the applicable card network. Failure to respond to disputes may result in loss of the disputed amount.

6.4. Delivery of Goods and Services. You are responsible for delivering the goods and services your customers have paid for as described at the time of purchase.

6.5. Accurate Business Information. You must maintain accurate and current business information with both CloudBridal and Stripe.

6.6. Prohibited Activities. You must not use CloudBridal's payment processing features for any activity prohibited by Stripe's terms, applicable card network rules, or applicable law.

6.7. Tax Obligations. You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes on transactions processed through CloudBridal. CloudBridal does not provide tax advice and is not responsible for the accuracy of any tax-related calculations or information displayed within the platform.


7. Refunds

7.1. Refund Processing. Refunds may be initiated through the CloudBridal interface and are processed via Stripe's API.

7.2. Stripe Controls Refund Execution. While CloudBridal initiates the refund request, Stripe controls the actual fund movement, timing, and execution of refunds. CloudBridal is not responsible for delays, failures, or modifications to refunds by Stripe.

7.3. Refund Failures. If a refund fails or is cancelled by Stripe, CloudBridal may update the refund status in your records. CloudBridal is not responsible for refund failures caused by Stripe, the issuing bank, or insufficient balance in your Stripe account.

7.4. Your Refund Policy. You are responsible for establishing and communicating your own refund policy to your customers. CloudBridal does not dictate your refund policy.


8. Auto-Charge and Scheduled Payments

8.1. Auto-Charge Feature. CloudBridal may offer an auto-charge feature that automatically charges customers' saved payment methods on or around scheduled due dates. The timing and frequency of auto-charge processing is determined by CloudBridal and may change at any time.

8.2. Merchant Authorization. By enabling auto-charge for a customer's payment, you represent and warrant that you have obtained proper authorization from the cardholder to charge their saved payment method on the scheduled date(s).

8.3. Failure Handling. Auto-charge attempts may fail for various reasons, including card declines, expired cards, or system errors. CloudBridal's handling of failed charges (including whether retries are attempted) is at CloudBridal's discretion and may change. You are responsible for arranging alternative payment when auto-charge fails.

8.4. Your Responsibility. You are solely responsible for ensuring that auto-charge is enabled only where you have proper cardholder authorization and that scheduled payment amounts are accurate. CloudBridal is not liable for unauthorized charges resulting from your use of the auto-charge feature.


9. PCI Compliance and Data Security

9.1. Tokenization. CloudBridal never receives, processes, or stores full card numbers (PAN), CVV/CVC codes, or card encryption keys. All sensitive card data is tokenized by Stripe before any information reaches CloudBridal's systems.

9.2. Locally Stored Card Data. For saved payment methods, CloudBridal may store only non-sensitive metadata such as the last four digits, card brand, expiration date, cardholder name, and a Stripe-generated identifier. This data is stored solely to facilitate the display of card information within the CloudBridal interface.

9.3. Terminal Transaction Data. For in-person card transactions, CloudBridal may store receipt data for audit trail purposes. This data does not include full card numbers.

9.4. Stripe's PCI Obligations. Stripe maintains PCI-DSS compliance for the card data it processes and stores. CloudBridal relies on Stripe's PCI compliance for all sensitive payment data handling.

9.5. Your PCI Obligations. You may have independent PCI compliance obligations depending on your transaction volume and payment acceptance methods. You are solely responsible for understanding and meeting any PCI requirements that apply to your business.


10. Data Handling

10.1. What CloudBridal Stores. CloudBridal may store payment-related data locally, including payment records, card metadata, refund records, auto-charge configuration, terminal receipt data, and audit trail data.

10.2. What Stripe Handles Exclusively. Full card numbers, CVC/CVV codes, encryption keys, account balances, fund management, payout scheduling, dispute resolution, and fraud detection are handled exclusively by Stripe and are never stored on or accessible through CloudBridal's systems.

10.3. Privacy. The collection, use, and protection of personal data related to payment processing is governed by CloudBridal's Privacy Policy (available at cloudbridal.com) and Stripe's Privacy Policy (available at https://stripe.com/privacy).


11. Currency

11.1. Transactions are processed in the default currency of your Stripe connected account. Currency conversion, if applicable, is handled by Stripe and subject to Stripe's exchange rates and fees. CloudBridal does not control currency conversion rates.


12. Liability Disclaimers

12.1. No Liability for Payment Processing. To the maximum extent permitted by applicable law, CloudBridal is not liable for:

(a) payment processing failures, declines, errors, or delays caused by Stripe, card networks, issuing banks, or any other third party;

(b) disputes, chargebacks, or their financial outcomes;

(c) funds held, frozen, delayed, or seized by Stripe or any financial institution;

(d) suspension, restriction, or termination of your Stripe account by Stripe;

(e) inaccurate or delayed transaction data provided by Stripe;

(f) unauthorized charges resulting from your failure to properly secure cardholder authorizations or your misuse of the auto-charge feature;

(g) any loss arising from your failure to manage disputes within Stripe's deadlines;

(h) any loss arising from failed or delayed auto-charge processing, refund processing, or any other payment operation; or

(i) any indirect, incidental, special, consequential, or punitive damages arising from or related to payment processing, regardless of the theory of liability.

12.2. Payment Processing Availability. CloudBridal does not guarantee the availability of payment processing features. Payment processing depends on the availability of Stripe's services and your Stripe account status, neither of which CloudBridal controls.

12.3. General Liability. The general liability limitations and warranty disclaimers in the Terms apply fully to these Payment Terms. Nothing in these Payment Terms is intended to expand CloudBridal's liability beyond what is provided in the Terms.


13. Indemnification

13.1. You agree to indemnify, defend, and hold harmless Cloud Innovations LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to:

(a) your payment processing activity through CloudBridal, including disputes, chargebacks, and refund obligations;

(b) your failure to comply with Stripe's terms, card network rules, or applicable payment processing laws and regulations;

(c) your failure to obtain proper cardholder authorization for saved payment methods or auto-charge transactions;

(d) your failure to deliver goods or services to your customers as described;

(e) your failure to meet applicable tax obligations; or

(f) any claim by a third party (including your customers, Stripe, or a card network) arising from your use of CloudBridal's payment processing features.

13.2. This indemnification obligation is in addition to, and does not limit, any indemnification obligations in the Terms.


14. Disconnection and Termination

14.1. Disconnecting Stripe. You may disconnect your Stripe account from CloudBridal at any time. Disconnecting will immediately disable all payment processing features within CloudBridal but will not affect your underlying CloudBridal subscription or non-payment features.

14.2. Effect on Data. Historical payment records created before disconnection are retained within CloudBridal for your records and audit purposes, subject to the data retention provisions in the EULA. Saved payment methods will no longer be usable for new charges after disconnection.

14.3. Stripe Account. Disconnecting from CloudBridal does not close or modify your Stripe account. Your Stripe account and your terms with Stripe remain in effect independently of your CloudBridal relationship.

14.4. Termination by CloudBridal. CloudBridal reserves the right to disconnect your Stripe integration or disable payment processing features at any time, for any reason, including but not limited to violations of these Payment Terms, the Terms, or if required by Stripe, applicable law, or card network rules.


15. Modifications

15.1. CloudBridal may modify these Payment Terms at any time by posting an updated version at the URL where this document is hosted. Continued use of payment processing features after changes are posted constitutes acceptance of the modified Payment Terms.
