Stripe Connected Account Agreement — Incorporation by Reference

This statement is incorporated by reference into the CloudBridal Terms and Conditions ("Terms") available at cloudbridal.com. It formally incorporates Stripe's Connected Account Agreement into the contractual relationship between Cloud Innovations LLC ("CloudBridal") and you ("Merchant").

Incorporation Statement

By connecting a Stripe account through the CloudBridal platform or by using any payment processing feature within CloudBridal, you acknowledge and agree to the following:

1. You are bound by the Stripe Connected Account Agreement, as published by Stripe at https://stripe.com/connect-account/legal and as may be amended by Stripe from time to time (the "Stripe CA Agreement"), which incorporates the Stripe Services Agreement applicable to your country of registration.

2. For the purposes of the Stripe CA Agreement:

  • Cloud Innovations LLC (operating as CloudBridal) is the "Platform" (also referred to as the "Stripe Connect Platform");
  • You (the Merchant) are the "Connected Account"; and
  • The CloudBridal Payment Processing Terms (incorporated by reference into the CloudBridal Terms) constitute the "Platform Provider Agreement" as referenced in the Stripe CA Agreement.

3. The Stripe CA Agreement is a separate legal agreement between you and Stripe. CloudBridal is not a party to the Stripe CA Agreement, does not control its terms, and has no obligation to review, summarize, or explain Stripe's terms to you. Stripe may update the Stripe CA Agreement independently of CloudBridal's Terms and without notice from CloudBridal. You are solely responsible for monitoring Stripe's terms.

4. By connecting your Stripe account, you authorize the sharing of data between CloudBridal and Stripe as described in Section 4.1 of the Stripe CA Agreement and in CloudBridal's Payment Processing Terms and Privacy Policy.

5. In the event of a conflict between the CloudBridal Terms (including these incorporated documents) and the Stripe CA Agreement on matters within Stripe's scope of service (including payment processing, fund management, disputes, payouts, and Stripe account management), the Stripe CA Agreement prevails.

6. Stripe's liability disclaimers (including those in Section 5 of the Stripe CA Agreement) apply directly to you as a Connected Account and are not modified by any provision of CloudBridal's Terms.
